Helping Animals One Search at a Time Rules



OFFICIAL RULES

1. Contest: No purchase necessary to enter or claim a Prize. A purchase does not increase your chances of winning the Helping Animals One Search At a Time Contest (“Contest”).

2. Sponsor: The sponsor of this Contest is EngineWorks, Inc. an Oregon corporation with an address at 6400 S.W. Canyon Courts, Suite 300, Portland, Oregon 97221 (”Sponsor”).

3. Eligibility: Contest is offered to any United States resident (“Participant”). Employees and agents of Sponsor and/or its affiliates, agencies and distributors (”Associated Persons”), members of such Associated Persons’ families, and individuals living in the same household with such Associated Persons are not eligible to win. Void where prohibited or restricted by law. The Contest is subject to all applicable federal, state and local laws and regulations.

4. How to Enter: Contest begins at 8:00am Pacific Daylight Time (”PDT”) on July 21, 2009 (Start Date). To enter, Participants must write and publish a blog post on the Participant’s Web site identifying a bone-fide non-profit organization dedicated to animal advocacy, support, and/or care. This blog post must also explain the merits of the animal advocacy organization, and why it is important to have people discover the organization’s Web site through search engines. In additional, each Participant must alert Sponsor of the fact that the blog post has been published to the Participant’s Web site through one (1) of the following two (2) means:

  1. Create a link within your blog post on your Web site to the following EngineWorks Web page: http://www.engineworks.com/helping-animals/
  2. Notify us of your blog post through Twitter.com with the following message and hashtag:

    Just entered the @engineworks ‘Helping Animals One Search at a Time’ contest. #helpinganimals [Insert link to your blog post.]

Sponsor’s decisions will be final in all matters relating to Contest and Contest entries. Use of any automated system to participate is prohibited, and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected entries, which will be disqualified.

5. Entry Period: Participant blog posts can be published to Participants’ Web sites beginning on the Start Date through 5:00pm PDT on August 17, 2009 (End Date). There is no limit to the number of blog posts that can be published by each Participant. However, Participant is responsible for notifying Sponsor of each blog post through a means stated in Section 4 of these Official Rules.

6. Public Voting Period: On the day after the End Date, Sponsor will select the five (5) best blog posts, at the sole discretion of Sponsor, and publish them on the Sponsor’s blog located online at http://www.engineworks.com/blog/. Then, an online voting period will be available to the public beginning at 5:00pm PDT on August 18, 2009 and ending at 5:00pm PDT on August 31, 2009 (“Voting Period”). During this Voting Period, any individual can cast a vote for the individual’s favorite blog post (from the selected five (5) best blogs) by one of the following three (3) means:

  1. Posting an online vote for the animal advocacy organization to Sponsor’s blog stated in Section 5 of these Official Rules,
  2. Posting an online vote for the animal advocacy organization to Sponsor’s Facebook.com page located at http://www.facebook.com/pages/EngineWorks/36171452325,
  3. Posting an online vote for the animal advocacy organization to the individual’s Twitter.com account using the following specific information: “[Non-Profit Organization] deserves to win the Free 3-Month SEO Campaign from @engineworks tinyurl.com/helpinganimals #helpinganimals”.

Individuals may vote via the three (3) means stated above ONLY one (1) time per 24-hour period on each of the three (3) platforms.

Sponsor’s decisions will be final in all matters relating to Contest voting. Use of any automated system to participate is prohibited, and will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected votes, which will be disqualified.

7. Winner: The blog post from the selected five (5) best blogs that receives the greatest number of cumulative online votes via the three (3) means stated above, as determined by Sponsor, will be declared the winner. If any potential winner cannot be contacted, potential winner forfeits prize.

8. Prize and Approximate Retail Values: The Participant with the winning blog post will win a consecutive ninety (90) day Natural Search Engine Optimization (“SEO”) engagement from Sponsor for the non-profit animal advocacy organization featured in the winning blog post (“Winning Organization”). Professional services contained in this SEO engagement are provided at the discretion of Sponsor, and will be stated in a Statement of Work (“SOW”) created by Sponsor. Winning Organization will be required to sign a standard Client Service Agreement detailing the terms and conditions of the SEO engagement.

The Prize consists of professional services, to be determined through consultation with the Winning Organization, and has no monetary value. However, the winning Organization is responsible for all federal, state, and local taxes on the Prize or the Winning Organization's income, and any other unspecified expenses that may be associated with acceptance or use of Prize. No substitution of the Prize will be offered by Sponsor. If Winning Organization declines or is unable to accept the Prize, the Contest will be deemed complete, and no Prize will be awarded to any participant.

9. Odds: There is a total of one (1) Prize winner. Odds of winning depend on the number of entries received during the applicable entry period(s).

10. Release: By receipt of any Prize, winner agrees to release and hold harmless Sponsor, EngineWorks, Inc., and any promotional partners, each of their parent, subsidiary, affiliate and related companies, and each of its and their respective officers, directors, employees, and agents (collectively the “Released Parties”) from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Contest or resulting directly or indirectly, from acceptance, possession, use, or misuse of any Prize awarded in connection with the Contest, including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Participants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Contest; (4) technical or human error which may occur in the administration of the Contest or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the Contest or receipt or use of any Prize or while traveling to or from any Prize-related activity. No more than the stated number of Prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify, abbreviate or suspend the Contest, or any portion thereof, for any reason without further obligation or advance notice. If the Contest is not capable of running as planned by Sponsor, notice will be posted on http://www.engineworkscom/blog. In the event that the Contest is abbreviated for any reason, the Sponsor reserves the right at its sole discretion, but is under no obligation, to award Prizes from among all valid and eligible entries received up to the time of termination.

By entering, Participants agree to comply with these rules. Any Participant who attempts to tamper with the Contest, in Sponsor’s sole discretion, shall be disqualified. In the event of a dispute as to who submitted a blog post, the blog post will be deemed submitted by the authorized owner of the Participant’s Web site at the time of entry.

CAUTION: ANY ATTEMPT BY AN PARTICIPANT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES TO THE EXTENT ALLOWED BY LAW) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

If any portion of these rules is determined to be invalid or illegal, the remaining portions of these rules will remain in effect and be construed with their terms as if the invalid or illegal provision were not contained herein.

12. Disputes: Participants agree that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest or any Prizes awarded shall be resolved individually, without resort to any form of class action, shall be exclusively venued in the state and federal courts located in Multnomah County, Oregon, and Participant hereby consents to such jurisdiction; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys' fees; and (iii) under no circumstances will Participant be permitted to obtain awards for and Participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Participant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Oregon, without giving effect to any choice of law or conflict of law rules (whether of the State of Oregon or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Oregon.

13. Notification: The Participant with the winning blog post, and the Winning Organization, will be contacted directly via a direct electronic message (e-mail) from Sponsor. It is the Participant's sole responsibility to contact Sponsor to collect Prize.

14. Winner Identification: The name of the Participant with the winning blog post, and the Winning Organization, will be posted on http://www.engineworks.com/blog on September 1, 2009.
